Draft - requires licensed counsel review before publication. These terms are risk-mapped from our own product, data model and payment architecture; they are not a legal opinion and create no attorney-client relationship. Anything marked "to be added before publication" or "to be confirmed with counsel" - including the legal entity, the governing law, the dispute-resolution forum and the limitation-of-liability figures - is a placeholder for counsel, not a commitment. These terms are not in force until counsel has approved them and they are accepted at signup.
HomeService ("we", "us") provides a mobile and web application that helps local service professionals (house cleaning, pool service, handyman, contracting) communicate with their customers across languages, schedule and document work, and keep a record of getting paid. These terms are the agreement between you and us about using that software. They are not an agreement about the service work itself - that agreement is between the service professional and their customer, and we are not a party to it.
1. Accepting these terms, and who may use HomeService
By creating an account, or by using HomeService after these terms take effect, you agree to them. If you do not agree, do not use the product.
HomeService is intended for adults operating or receiving a local service business relationship. It is not directed at children, and you must be at least 18 years old to hold an account. If you accept these terms on behalf of a business, you confirm you are authorized to bind that business, and "you" means both you and that business.
Accepting these terms is not consent to any recurring charge. If we ever offer a paid plan that renews automatically, the renewal terms will be presented to you as their own separate step at the moment of purchase, and consent to them will be taken separately from your acceptance of these terms. See section 6.
2. What HomeService is, and what it is not
HomeService is software a service professional uses to run their own business. Today the product lets a provider invite the customers they already have, exchange messages that are translated automatically in both directions, record voice notes, schedule one-time and recurring jobs, photograph work before and after, get directions to a property in their own map app, quote and invoice, and record when a job has been paid. Job times are shown in the local time zone of the property where the work happens.
It is equally important to be clear about what HomeService is not, because these are deliberate product decisions, not omissions:
- We do not find, match, refer, recommend, rank, select or endorse service professionals. There is no marketplace, directory or discovery feature in the product. Every relationship in HomeService today began because a provider invited a customer they already had.
- We do not screen, vet, verify, certify or run background checks on any provider, worker or customer, and nothing in the product should be read as us vouching for anyone. If we ever add identity or screening features, we will show you where the information came from and when - we will not issue a badge that means we approve of a person.
- We are not a party to the service agreement between a provider and a customer. We do not set the price, decide the scope, perform the work, guarantee the work, or judge whether the work was done properly.
- We are not an employer, staffing agency, employment agency or labor contractor. See section 4.
- We do not give legal, tax, accounting, insurance or licensing advice, and our AI assistant does not give professional trade advice. See section 7.
AI Phone, which answers incoming calls for a business, is available to businesses that turn it on; see section 7A. We do not place calls through it.
Some capabilities are built into the architecture but are switched off and not available to anyone today - for example automated outbound text messaging, calls placed by an AI assistant, and any platform fee on customer payments. If we turn one of them on, we will say so here and in the product before it affects you, in the same way we do for card payments in our Privacy Policy.
3. Your account
You sign in through our authentication provider (Clerk), usually with your phone number or email. You are responsible for keeping access to that phone number, email and device secure, and for everything done through your account. Tell us promptly at the address in section 15 if you believe someone else has access to it.
One person has one identity, and roles are held per business - the same person can be a provider in their own business and a customer of someone else's. Give us accurate information and keep it current; we may suspend an account we reasonably believe is being used by someone other than its owner.
You can delete your account at any time, in the app under Settings - Account - Delete Account, or on the web at homeservice.onetrinity.co/account/delete. What is deleted and what is kept is described in our Privacy Policy.
4. If you are a service professional: your business stays yours
You are an independent business. HomeService is software you use to run it. Nothing in these terms creates an employment, joint employment, co-employment, agency, partnership, franchise or joint venture relationship between you and us, and nothing here makes us the employer, joint employer or staffing agency of anyone who works for you.
Concretely, and by design: we do not set your prices, we do not set your schedule, we do not set any worker's pay, we do not require you or anyone on your team to accept a job, we do not penalize anyone for declining work, and we do not rank or compare workers across different businesses. Those decisions are yours, and the product is built so they stay yours.
Because your business is yours, you are responsible for the obligations that come with it, including:
- Holding and maintaining every license, registration, permit, bond and insurance policy your work requires in the places you work.
- Determining, correctly and for yourself, whether the people who work for you are employees or independent contractors, and meeting the wage, hour, payroll tax, workers' compensation, work authorization and anti-discrimination obligations that follow from that determination.
- Any background check, reference check or qualification check you decide to run on your own workers. We do not run one, and we do not tell you whether to.
- Whether and how much sales or service tax to charge. You set your own tax rates in the product; we do not calculate them and we do not determine what is taxable where you work.
- Having the right to contact the people you invite - you confirm that each customer you add is a customer you already have a relationship with, and that the phone number or email you enter belongs to them and was given to you for this purpose.
- The safety, conduct and work of anyone you send to a customer's property.
We are software. Your business stays yours - including its obligations.
5. Your customers remain your customers
This is a product promise, not a courtesy, and it is built into how the system stores data. When you invite a customer, that relationship is recorded permanently as originating with you. That record is written once and never rewritten.
So long as that is true: we will not use that customer relationship to route your customer to a competing professional, we will not surface discovery or marketplace features against an established relationship you originated, we will not sell or rent your customer list, and we will not market a competing provider to your customer on the strength of the relationship you brought us.
If you are a customer: the relationship is yours too. Your account, your service history and your records belong to you independently of any provider. If you stop working with a provider, or a provider closes their account, your own account and your own history are not deleted with theirs, and no provider can delete your account for you.
What each party can see is limited to the specific service relationship between them, as described in our Privacy Policy. A provider never sees another provider's customers, and a customer never sees another customer's data.
6. Money: three separate things
HomeService keeps three kinds of money strictly separate, and it matters that you know which is which.
First, a customer paying a provider for work performed at a property. Today, that payment happens outside HomeService - cash, Zelle, check, or any other method the two of you agree on - and the provider records it in the app by marking the job as paid. That record is a first-class part of the product, not a workaround: the product is fully usable with no payment account of any kind. Card payment processing is not available yet. If we add it, the provider will be the merchant of record for their own work, the money will go directly to the provider, and we will name the payment processor here before the feature ships, not after.
Second, a provider paying us for the software. We may offer paid plans. If and when we sell one, it will be sold on the web, the renewal terms and price will be presented and separately consented to at the moment of purchase, and you will be able to cancel through the same account you bought it from. Access granted today is granted directly by us and is not a paid subscription.
Third, a platform fee on the money a customer pays a provider. We charge none. There is no commission, take rate or marketplace fee on any payment between you and a customer you brought, and the product does not sit in the flow of those funds. If that ever changes for some category of relationship, we will give notice under section 14 before it applies to anything, and it will never be applied retroactively to a payment already recorded.
Two consequences follow from the first point, and they are the whole reason section 11 reads the way it does. Refunds, price disputes, chargebacks, unpaid invoices, tips and any tax charged on the work are between the customer and the provider - we do not hold, decide or return that money. And a dispute about the work itself is recorded in HomeService as a real state on the job, with the photos, timestamps, messages and history attached to it, so both sides have the same record. We supply that record. We do not decide who is right.
7. Property access instructions and AI features
Property access instructions - a gate code, alarm code, lockbox combination or where a key is kept - are optional and are handled as a secret class of data. How they are stored, when they are decrypted, who can never see them (including our own support team) and how each access is recorded is described in section 3 of our Privacy Policy, and we do not restate the mechanics here.
Two rules about them are contractual, not technical. First, being assigned to a job in HomeService does not by itself authorize anyone to enter a property or to receive its access instructions - in the current version of the product, only the contracted provider-owner can ever receive them, and a crew member can be scheduled and assigned to work without ever being given them. Second, only add access instructions for a property you are authorized to give access to, and treat a code you receive as you would a key: use it only for the scheduled work, never share it, and tell the property owner if you think it has been exposed. If you are a customer, we recommend changing a code when a service relationship ends.
HomeService uses AI to transcribe what you say and to translate messages between languages. It is genuinely useful and it is not perfect: a transcription can mishear a number, and a translation can change a nuance. Before you rely on anything safety-critical, money-critical or scheduling-critical - an amount, an address, a code, a time, a health or hazard warning - read the original and confirm it with the other person. Both the original and the translation are always visible to you in the same thread for exactly this reason.
Our AI assistant does not change your data on its own authority. Every change to a job, a schedule or a payment record goes through the same permission checks and the same confirmations that apply when you tap the button yourself, and the assistant cannot invent a customer, a job or a price. Our AI also does not give professional trade advice: it will document an electrical, structural, gas, water, mold or pest issue and route it to a qualified professional rather than tell you whether something is safe. Nothing our AI produces is a professional opinion, an inspection or a diagnosis.
We do not use your voice to identify you and we do not build voice-print or voice-biometric profiles. Recording, translation and AI Phone are described further in our Privacy Policy, section 5A.
7A. AI Phone: if you are a business that uses it
AI Phone gives your business a phone number that an AI receptionist answers. It answers incoming calls only. It speaks English, Spanish, Portuguese and Hindi and detects the language the caller is speaking. These rules are in addition to the rest of these terms, and you accept the exact opening words the assistant will speak, in each language, when you turn the feature on. If we change those words, you accept the new version before it goes live.
For the information callers give on your number, you are the one who decides why it is collected and what is done with it, and we process it for you under your instructions in these terms. We act on our own only for counting minutes, security, preventing abuse, keeping proof of each caller's recording choice, and meeting legal duties.
- Tell us where you operate. When you set up AI Phone, tell us the state or states (and country) where your business and your customers are, and keep that current. Different places have different rules about recording calls, and we use what you tell us to set up the feature.
- Keep the opening on. Every call starts with the assistant saying that it is an AI and that the call is recorded, and asking whether that is okay. If the caller speaks another language, it repeats this in that language. You may not switch that off, shorten it, change its meaning, tell the assistant to say it is a person, or tell it to keep recording after a caller says no.
- Respect a caller's no. If a caller declines, we take a message without a stored transcript and we delete the recording. Do not ask callers to repeat their request later "for the record" on a different line to get around their choice.
- Use lawful transfer numbers. A transfer number must be a number you own or control, or one you have permission to send calls to, in the United States. No premium-rate, international or third-party numbers. You agree that we may place the transfer call to that number, and that the assistant may say a short automated announcement to you before connecting the caller. We may remove a number we reasonably believe is being used for fraud.
- No outbound robocalls or texts. AI Phone does not place calls or send texts, and you may not use it, or the number, to do that, including voicemail drops, reminders or campaigns. Do not forward numbers you do not control to your AI Phone number.
- Your own notices. You are responsible for telling your customers about your use of their information where the law says you must, and for honoring requests from callers that we pass to you. Do not use what callers say to market to them unless the law lets you.
- Sensitive information. Do not instruct the assistant to ask for card numbers, bank details, government ID numbers, health information or property access codes on a call.
- Not an emergency line, and not professional advice. The assistant records requests and shares your published information. It does not diagnose, inspect, quote a final price, or promise a booking. You must not present it as a way to reach emergency help.
- Your team. You are responsible for anyone you give access to the recordings and transcripts, and for deleting what you no longer need.
What we do. At the start of every call we tell the caller that the assistant is an AI and that the call is recorded, and we ask if that is okay. When the caller speaks another language, we say it again in that language. We keep a record of the words used, the language and the caller's answer for each call. When a caller declines, we do not store a transcript and we delete the recording. We do not create voiceprints and do not identify callers by voice. We do not sell call content, use it to train models of our own, or use it to market to callers. We require our voice, speech and language-model providers by contract to use call content only to run the service for us [counsel to confirm once the provider agreement is signed], and we will tell you in the app before we add a provider that handles call content. We start every number in a testing mode that only you can reach. You can pause AI Phone instantly. We do not place calls or send texts through it.
What can go wrong. Calls may not be answered, transcripts and summaries can be wrong, and an AI can mishear a name, a number or an address. Read the original before you rely on a transcript for anything that matters, as section 7 says. Minutes are limited by what you have bought or been given. When they run out, or a platform limit is reached, calls go to a message or to your transfer number rather than to the assistant. We may suspend a number for abuse, unlawful use, or a legal requirement.
Data when you leave. When you close AI Phone or your account, we give you a reasonable chance to export call records, then delete call recordings and transcripts as described in section 5A of our Privacy Policy, keeping only the small records of consent and minutes described there. We will help you answer a caller's request about their information, and we will tell you promptly if we learn that call content held for you was exposed. [Counsel to set the notice period and to review whether a separate data processing addendum is needed.]
Liability for AI Phone is covered by sections 11 and 12. Nothing in this section makes us responsible for how you use a caller's information after we pass it to you.
8. Acceptable use
Use HomeService for genuine local service work with people you actually have a relationship with. You agree not to:
- Add, invite or message a person who has not given you their contact information for this purpose, or who has asked you to stop contacting them.
- Send bulk, automated or unsolicited marketing through the product, or use it to run a calling or texting campaign, or use AI Phone to place calls or send texts.
- Store or request access instructions for a property you are not authorized to enter.
- Upload photographs of a property you are not performing work at, or record any person where the law where you are requires their consent and you do not have it.
- Represent, anywhere, that HomeService has screened, verified, endorsed, certified, insured or licensed you, your workers or your business, or display any badge or claim to that effect.
- Misrepresent how a customer relationship began, or the identity of the person performing the work.
- Refuse service, or select or exclude a customer or worker, on the basis of a characteristic protected by law.
- Perform work that requires a license you do not hold, or use the product to present unlicensed work as licensed.
- Copy, scrape, resell or redistribute the product or its data, reverse engineer it, or use its output to train a model or build a competing dataset or service.
- Probe, scan or test the security of the product without our prior written permission, interfere with its operation, or attempt to access another business's data.
- Use HomeService for anything illegal, fraudulent, harassing, threatening or intended to harm another person.
If you find a security problem, report it to us at the address in section 15 instead of exploiting it, and we will not pursue you for a good-faith report made that way.
9. Who owns what
We own HomeService - the software, the design, the brand and everything we build into it. These terms give you permission to use it while your account is in good standing. They do not transfer any ownership to you.
You own your content: your messages, voice notes, photographs, customer and property records, your service catalog and your prices. You keep owning it.
So that the product can work, you give us permission to host, store, back up, transmit, transcribe, translate and display your content - to the parties of the specific service relationship it belongs to, and to no one else - and to use it to operate, secure and support the product. That permission is limited to running the service for you, ends when you delete the content or your account (subject to the records described in our Privacy Policy), and does not let us sell your content or publish it. Which outside providers process it, and on what terms, is listed in our Privacy Policy.
You are responsible for having the right to upload what you upload, including photographs taken inside someone's home and contact details you enter about other people.
If you send us an idea or a suggestion, we may use it to improve the product without owing you anything for it. That is not a claim on your business data - only on unsolicited feedback about the software.
10. Ending the relationship
You can stop using HomeService at any time and delete your account using either method in section 3. Deleting your account does not by itself cancel obligations you have to a customer or a provider in the real world.
We may suspend or close an account that breaches section 8, that we are legally required to close, or that creates a serious risk of harm to another person. Where it is practical and lawful to do so, we will tell you why and give you a chance to fix it first. If we close your account for a reason other than a breach by you, we will make a reasonable effort to let you export your records first.
After an account ends, what is deleted and what is retained - including invoices and payment records kept for tax and accounting reasons, with personal identifiers removed - is governed by section 8 of our Privacy Policy. Sections 4, 6, 9, 11, 12 and 13 of these terms continue to apply to things that happened while your account was open.
11. Disclaimers and limits on our liability
HomeService is provided "as is" and "as available." To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the product will be uninterrupted or error-free, that a message, notification or reminder will be delivered on time or at all, that a translation or transcription will be accurate, or that data you enter will always be available.
When you have no connectivity, an action you take is shown as queued and is not confirmed. Do not treat a queued action as delivered.
We are not a party to the service agreement between a customer and a provider, and we do not guarantee any of the following: that a job will be performed, that it will be performed well, safely, on time or lawfully, that anyone holds a license or insurance, that anyone is who they claim to be, that anyone has been screened, or that a payment will be made. Choosing who to work with, who to let into a property and who to pay is your decision. We provide the record; we do not adjudicate the dispute.
To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost business, lost data, or the cost of substitute services - and our total liability for all claims relating to HomeService is limited to [the greater of the amount you paid us in the twelve months before the claim, or one hundred US dollars - final figure, structure and any carve-outs to be confirmed with counsel before publication].
Some states do not allow the exclusion of certain warranties or the limitation of certain damages, so parts of this section may not apply to you. Nothing here limits liability that cannot lawfully be limited, including liability for our own fraud, gross negligence or willful misconduct. [Counsel to confirm the required consumer-law carve-outs for each state in which we operate.]
12. Indemnification
You agree to defend, indemnify and hold us harmless from claims, damages, penalties and reasonable legal costs arising out of your use of HomeService in breach of these terms or of the law.
If you are a service professional, that specifically includes claims arising from the work you or your workers perform, injury or damage at a property, the classification, pay, screening or conduct of your workers, licensing, permitting, insurance or tax obligations you did not meet, your invoicing and tax rates, and anyone you invited or contacted through the product without the right to do so.
If you are a customer, that specifically includes content you upload and any property access instructions you provide for a property you were not authorized to give access to.
This does not apply to the extent a claim arises from our own gross negligence or willful misconduct. [Counsel to review scope, mutuality, notice and control-of-defense mechanics, and whether this survives consumer-contract scrutiny in the states we operate in.]
13. Disputes with us, and governing law
Legal entity: to be added before publication.
Governing law: these terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules.
Venue: any court action between you and us must be brought in the state courts located in Collin County, Texas, or the federal court serving Collin County, Texas, and you and we consent to that venue. Either of us may bring a claim in small-claims court, and either of us may seek an injunction to protect confidential information or intellectual property.
There is no arbitration clause and no class-action waiver in these terms. If that changes, we will say so plainly in this section and give notice under section 14, never by a quiet edit.
Before starting any formal proceeding against us, contact us at the address in section 15 and give us 60 days to try to resolve it directly. Most problems are faster to fix that way, and we commit to a real response, not an acknowledgment.
This section is about disputes between you and us. A dispute between a customer and a provider about the work, the price or a refund is between them - see section 6. On request from a party to that relationship, and where the law permits, we will provide the job record, photos, timestamps and message history we hold.
14. Changes to these terms
We will update the "Last edited" date above when these terms change, and for material changes we will provide notice in the app before the change takes effect. Continuing to use HomeService after a change takes effect means you accept the updated terms; if you do not accept them, you can delete your account under section 3.
Some changes are not covered by that general rule and will be asked separately, not applied by notice: starting to charge a fee where there was none, changing the price of a plan you are already paying for, enabling automated calling or texting to your contacts, any change to AI Phone that lets it place calls, and any change to how property access instructions are released.
